Credit Card Security
We know of no documented cases of credit card fraud using our web revalue system over the Internet. All credit & debit card numbers are encrypted in the software when the order is placed using 128 bit encryption. They are only decrypted after they reach our EFT service provider. They are not held in clear text on any web site.
Upay subscription is for 12 months from the date of registration. There is no refund of this subscription under any conditions.

Upay Terms and Conditions
1. General Terms
1.1 This agreement describes the terms and conditions for using the Uniware Systems Upay Service. The terms "you," and "your" are referring to you and your users. "We" and "our" refer to Uniware Systems Limited. “Upay-E.Com” “cashless.co.uk” refers to the e-payment service hub.
1.2 A license to use Uniware Systems Upay service is sold under the condition that the terms and conditions hereunder are equally applied to your subsequent transactions and users whether by way of trade or otherwise.
1.2 Agreement Duration
1.2.1 This Agreement shall commence on the date it is signed by the parties and shall continue for an initial period of 12 months and shall continue thereafter on a 12 monthly basis unless and until terminated by either party by giving 60 days prior written notice to that effect to the other party to expire at the first initial period of 12 months or at any 12 month anniversary thereafter subject always to the provisions for earlier termination contained in this Agreement.
Without prejudice to any other provisions of this Agreement, this Agreement may be terminated by either party:-
1.2.2 on giving written notice to the other party if the other party is in breach of this Agreement and shall have failed either to remedy the breach or in the case of an irremediable breach, to pay reasonable compensation to the other party in either case within 30 days of the receipt of a written request from the other party to remedy the breach or pay reasonable compensation; or
1.2.3 on giving written notice to the other party if the other party (being a company) shall have a receiver, manager, administrator, administrative receiver or liquidator appointed or shall pass a resolution for winding up (otherwise than for the purpose of solvent amalgamation or reconstruction) or a court shall make an order to that effect or if the other party shall enter into any composition or arrangement with its creditors or if you (being an individual) shall have a petition for bankruptcy presented to you or a bankruptcy order is made against you.
1.2.4 Any notice given under clause 1.2.2 or 1.2.3 shall state the date when such termination shall take effect, such date not to be greater than 7 days after the date of such notice. For the avoidance of doubt, any such notice may be stated to take effect forthwith.
1.3.1 By publishing a Change Notice on our website (www.upay.co.uk or www.cashless.co.uk or www.upay-e.com), we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion, such Change Notice to give at least 30 days notice. These modifications may include, but are not limited to changes in the scope of available discounts, payment procedures and terms and conditions of use. If any of the modifications are unacceptable to you, your only recourse is to terminate this Agreement. If you use Upay beyond 30 days after the Change Notice, it will be considered as your acceptance of the change.
2.1. All prices for services provided by us to you are in Pounds Sterling and are subject to all applicable taxes, including but not solely Value Added Tax at the rate prevailing at the tax point of sale.
2.2 We retain the right to revise our prices to you. Such revisions shall apply to orders received by Uniware Systems Limited on or after the effective date of the revision. A revision of price or edition will not require a Notice of Change as laid out in Paragraph 1.3.1 Prices for Upay will be as displayed from time to time on the website or www.upay.co.uk or www.cashless.co.uk or www.upay-e.com or any such website as we may from time to time designate.
2.3 Upay requires each subscriber to pay an annual non refundable subscription in order to use the Upay service. Details of the current subscription prices are available upon registration for this service.
3. Acceptance & Payment
3.1. All orders are subject to acceptance by Uniware Systems.
3.2. Payment shall be made in Pounds Sterling to Uniware Systems Limited into the account designated by Uniware Systems Limited, or as may otherwise be agreed in writing by the parties. Payments are within 14 days of invoice. If due to bank charges, transfer fees, or the like, Uniware Systems Limited should receive less than its invoice amount, other than charges by credit card companies, Uniware Systems Limited will re-invoice you for the shortfall. Should payment in full of any invoice (aside from such shortfalls) not be received by Uniware Systems Limited within thirty (30) days after presentation, Uniware Systems Limited will impose a debt service charge amounting to one and a half percent (1.5%) above the base rate quoted from time to time by HSBC Plc, London of the overdue balance for each 30-day period or fraction thereof the overdue amount remains unpaid. In the event that any amount remains unpaid forty-five (45) days after presentation of invoice, Uniware Systems Limited may discontinue, withhold, or suspend services to you. Title passes on receipt of payment and not delivery.
3.3. You hereby agree to pay any and all legal fees, court costs, and related expenses incurred by Uniware Systems Limited in the collection of any amount due it.
4. Duties of Central User
4.1. You will support end users by providing technical support in the local language of your main location.
4.2. Upay is sold under the absolute condition that it may not be used to support unsolicited commercial emailing, bulk emailing, copyright violation, defamatory speech, distribution of Internet viruses, worms, Trojan horses and other destructive activities, flaming or illegal pornography or abusive UseNet postings. Any such use, or what may be reasonably interpreted as such use would be a breach of the license of use and not withstanding any payments made or received will cause Uniware Systems Limited to take such action as is necessary to preserve the good name of Upay at their sole discretion.
5. Duties of Uniware Systems Limited
5.1. Uniware Systems Limited will use its best endeavours to support you in all matters relating to the use of Upay as described in our Service Level Agreement, “SLA” (Schedule 1 to this Agreement).
5.2. Uniware Systems Limited support team will be available during office hours, (7.00 a.m. – 7.00 p.m. excluding weekends and bank holidays
5.3. Upay agrees to satisfy all promises specified in its SLA published from time to time on its website.
6. Rules & Regulations
Uniware Systems Limited may impose reasonable conditions regarding the ethical, moral and legal use of its services from time to time. You shall impose such conditions on your users to the extent necessary to ensure compliance.
7. Limitation of Uniware Systems Limited Obligation & Liability
7.1. Uniware Systems Limited will utilise its best efforts to maintain acceptable performance of services contracted for, but Uniware Systems Limited makes absolutely no warranties whatsoever, express or implied, including warranty of merchantability or fitness for a particular purpose. Uniware Systems Limited cannot guarantee continuous service, service at any particular time, or integrity of data stored or transmitted via its system or via the Internet. Uniware Systems Limited will not be liable for the inadvertent disclosure of, or corruption or erasure of, data transmitted or received or stored on its system or by the use of Upay. Uniware Systems Limited shall not be liable to you or any of your users, including, but not limited to, losses or damages of any and every nature, resulting from the loss of data, inability to access Internet, or inability to transmit or receive information, caused by, or resulting from, delays, non - deliveries, or service interruptions whether or not caused by the fault of Upay or negligence of Uniware Systems Limited.
7.2. Uniware Systems Limited may discontinue servicing Upay. Such discontinuation or requirement may not be unreasonable, however, and Uniware Systems Limited agrees to provide you with reasonable notice via a Notice of Change of any such intent to discontinue.
7.3. Services provided by Uniware Systems Limited to you shall be deemed accepted for all purposes thirty days after presentation of invoice for such services, if no written claim or objection regarding such services has been received by Uniware Systems Limited within that 30 day period. No claim related to such accepted services shall be raised.
7.4. Uniware Systems Limited’s liability to you, and any user of Upay is limited to the amount paid to and received by Uniware Systems Limited for services not accepted. In no event shall Uniware Systems Limited be liable to you, or any user or any other entity for any special, consequential, or other damages, however caused, whether for breach of contract, negligence or otherwise, even if Uniware Systems Limited has been advised of the possibility of such damage.
7.5. You will take all necessary measures to preclude Uniware Systems Limited from being made a party to any lawsuit or claim regarding Upay provided to any user. You hereby agree to indemnify and hold harmless Uniware Systems Limited from any and all claims of whatever nature brought by any of your users against Uniware Systems Limited in excess of the remedy set forth in paragraph 7.4.
8.1 You acknowledge that by reason of your relationship with Uniware Systems Limited hereunder, you may have access to certain information and materials relating to Uniware Systems Limited’s business, plans, customers, software technology, and marketing strategies that is confidential and of substantial value to Uniware Systems Limited, which value would be impaired if such information were disclosed to third parties. You agree that you will not use in any way for your own account nor for the account of any third party, nor disclose to any third party, any such information revealed to it by Uniware Systems Limited. You further agree that you will take every reasonable precaution to protect the confidentiality of such information. In the event of termination of this agreement, there shall be no use or disclosure by you of any such confidential information in your possession, and all confidential materials shall be returned to Uniware Systems Limited or destroyed. The provisions of this section shall survive the termination of the agreement for any reason. Upon any breach or threatened breach of this section, Uniware Systems Limited shall be entitled to injunctive relief, which relief shall not be contested by you.
9. Relationship of the Parties
9.1 The relationship between Uniware Systems Limited and you is that of vendor and purchaser. They shall not be construed as being joint ventures, franchiser/franchisee, or employer/employee. This agreement is a commercial agreement between businesses, not a consumer agreement.
10.1 The parties shall attempt to resolve all disputes arising out of this agreement in a spirit of cooperation without formal proceedings. Any dispute which cannot be so resolved (other than the collection of money due on unpaid invoices) and other than the injunctive relief referred to in paragraph 8 shall be subject to formal accredited arbitration upon written demand of either party. Arbitration shall take place in London, England or at another location if the parties so agree.
11. Non-assign ability
11.1 Your rights and obligations under this agreement may not be transferred or assigned directly or indirectly without the prior written consent of Uniware Systems Limited, which consent shall not be unreasonably refused.
12. Partial Invalidity
12.1 If any provision of this agreement is held to be invalid by a court of competent jurisdiction, then the remaining provisions shall nevertheless remain in full force and effect. Uniware Systems Limited and you agree to renegotiate in good faith any term held invalid and to be bound by mutually agreed substitute provision.
13. Applicable Law, Jurisdictional Matters
This agreement takes effect when accepted by Uniware Systems Limited in England. It is to be governed by and construed under the laws of the England which shall have exclusive jurisdiction to adjudicate any non-arbitral dispute arising out of this agreement. You hereby expressly consent to (1) the use of English law and (2) service of process being effective upon it by registered mail sent to the address set forth in paragraph 1.3.1 of this document, as may be changed from time to time by written notice actually received by Uniware Systems Limited. Uniware Systems Limited will comply with all orders issuing from tribunals having jurisdiction over Uniware Systems Limited, and that such compliance could affect the services provided by Uniware Systems Limited to you or your users; you agree to hold Uniware Systems Limited harmless from any claims resulting from such compliance.
Schedule 1: Warranty and SLA
Upay will use its reasonable skill, due care and attention in providing the Services. Upay does not warrant that the Services are error free or operate without interruption or are compatible with all equipment and software configurations. Upay gives no warranty whatsoever as to the quality of information received through the Services.
Uptime and Obligations
We always strive for 100% server uptime and on a week to week basis this is nearly always achieved. Our servers are hosted in a tier one managed data centre that monitors our servers. Our application architecture ensures that in event of a failure, backup procedures are implemented immediately. Upay will use reasonable endeavours to maintain system availability for the provision Services.
From time to time the Services in whole or in part may be closed down for routine repair or maintenance work. Notwithstanding any Service Interruptions Upay will give as much notice as in the circumstances may be reasonable and shall as far as possible endeavour to carry out such work during the scheduled maintenance periods, which shall be notified to you from time to time.
Central User Customer Support Services
Upay will provide the following Central User Customer Support Services:
Upay will provide Help Desk services to respond to customer service and technical questions and enquiries. The staff will be knowledgeable personnel with appropriate technical and communication skills. They will aim to assist in resolving Product or Service issues and to impart necessary relevant technical knowledge or understanding related to any Upay Service.
Such personnel shall be contactable via the appropriate Telephone and fax numbers and via mail and e-mail. during office hours, (7.00 a.m. – 7.00 p.m. excluding weekends and bank holidays)
The following information will be required when reporting an incident to the Help Desk:
During office hours, and excluding Bank Holidays, we aim to answer all support issues raised within 2 hours, but guarantee a response within 4 hours. Please note that this support is offered to Upay managers and not your users.
Credit Card Security
All credit card transactions are carried out via authorised payment gateways with the highest security in place. Uniware Systems carry out independent penetration testing annually in order to maintain integrity of credit card data on our website.
Schedule 2 Payment Processing Terms and Conditions
Upay does not operate as a Bank nor as a Payment Service Provider (“PSP”) and as such it is therefore not subject to the relevant financial, legal and regulatory provisions for these entities. Any relationship with your Acquiring Bank for the purposes of accepting credit and debit cards is between and your chosen bank. Uniware Systems requires details of your relevant Merchant Account numbers for the purposes of establishing the connection and ensuring that transactions are processed to the relevant bank account.
Upay is integrated via Commidea Ltd who provide Eft payment services.
Where you use these services via Upay, you are subject to and fully agree to the standard terms and conditions of Commidea as published on their website, www.commidea.com
The annual fee as set out in these terms and conditions is payable to Uniware Systems Limited.
